License agreement approval and parties involved

When you register on StockFootageLab.com to purchase, download and use stock videos and stock photos, you become the “Licensee” and you must agree to this license agreement terms and conditions. “StockFootageLab.com”  is owned by Playback Productions LLC and is a marketplace where you can sell and purchase stock videos and photos which will be referred as “Content”. “StockFootageLab.com” may be referred in this license agreement as “the website”. A member who submits media to sell on the website StockFootageLab.com shall be referredd to as the “Submitter”. This agreement is between “StockFootageLab.com” and the “Licensee” regarding the use of content purchased and downloaded by the “Licensee”. The “Licensee” must approve and agree to the terms and conditions of this License Agreement in order to use content purchased from “StockFootageLab.com”. This license agreement may be edited anytime by “StockFootageLab.com” and any changes to this agreement will come into effect after being posted on the StockFootageLab.com website.

Grant of royalty-free license

Members of StockFootageLab.com set the price for purchasing stock media on the website. This price is the licensee fee that the Licensee has to pay to obtain the rights to use the stock media. StockFootageLab.com grants to the Licensee a personal, perpetual, worldwide, non-exclusive and non-transferable right to use the Content in the website StockFootageLab.com as described in this License Agreement. The payment of the license fee does not give the Licensee the ownership of the stock media nor the right to sell the stock media purchased. Therefore, StockFootageLab.com and the members of the website who submit and sell the stock media will retain the copyright ownership after the Licensee pays the licensee fee.

Limitations of the license agreement

The Licensee, after paying the license fee, has to comply to national and international copyright law. As stated above, the Licensee, by purchasing content on StockFootageLab.com, does NOT acquire copyrights to the media, which are still reserved to the Submitter and/or the StockFootageLab.com website. Therefore:

1) The Licensee does not have the right to resell, transfer or relicense the media he/she has acquired on StockFootageLab.com to third parties. He may not even resell, transfer or relicense a modified version of the content licensed through the website. If the licensed content is accessed and reused by unauthorized third-parties, the Licensee must notify StockFootageLab.com of the unathorized use.

2) Licensed content may not be used for promotional purposes without the authorized consent of the Submitter of the content. Therefore, media licensed on the website shall not be used, for example, on promotional videos, logos or trademarks without the written consent of the Submitters.

3) Licensed content shall not be used for any defamatory, pornographic, or obscene purposes or incorporated in any defamatory, pornographic or obscene content.

4) Content indicated as for “editorial” purposes only shall not be used for any commercial or promotional purposes nor incorporated in any commercial or promotional material unless the Licensee can obtain a release form by the models and actors shown in the media.

5) The Licensee is responsible for obtaining release forms from models and actors and written consent by the Submitters when required. The StockFootageLab.com team will assist to the best of its abilities to obtain the necessary release forms and consents but gives no warranties about the existence of such documents.

Limitations of liabilities

StockFootageLab.com is a website that links together Submitters and sellers of media and Licensee’s of such media. Submitters are responsible for the management of the copyrights of their supplied media. StockFootageLab.com does not warrant that the information supplied by the Submitters is entirely correct. The website strives to provide the best and most suitable Content for Licensees as well as the best service but StockFootageLab.com does not warrant that the quality of its service or the quality of the media provided by the Submitters will meet the Licensee’s expectations, will be error-free and timely delivered.

STOCKFOOTAGELAB.COM MAKES NO OTHER WARRANTIES REGARDING THE LICENSED CONTENT, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. STOCKFOOTAGELAB.COM, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHALL NOT BE LIABLE TO LICENSEE OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES OR PROCEEDING ARISING UNDER THIS AGREEMENT OR ARISING OUT OF LICENSEE'S USE OF THE LICENSED CONTENT OR OTHERWISE, EVEN IF STOCKFOOTAGELAB.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, COSTS OR LOSSES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE.

In case a dispute arises, StockFootageLab.com’s liability shall not exceed in any way the return of the amount of the purchase price paid by licensee.

Payment

When the licensee purchases stock media on StockFootageLab.com, he’ll pay the full amount for the licensee fee set by the Submitter. The license fee will be paid entirely to StockFootageLab.com. StockFootageLab.com shall not, under any circumstances, be responsible for refunding the licensee fee paid by the Licensee and any refund will be at the website’s discretion.

Term and Termination

This license agreement comes into effect the moment the Licensee registers on StockFootageLab.com and becomes a member. StockFootageLab.com has the right to terminate this license agreement if the Licensee deliberately violates the terms and conditions of this license agreement. If the member is notified and asked to comply to the terms and conditions of this license agreement and doesn’t take any action, StockFootageLab.com retains the right to terminate or deactivate the membership of the Licensee.

Credit

The Licensee should credit the Submitter/copyright owner of the content he/she licensed as well as StockFootageLab.com as the provider of such media.

Acknowledgement

The Licensee acknowledges that has read and understood this legal agreement and that is of legal age, 18 years or older, to enter in this agreement. By licensing stock media from StockFootageLab.com, the Licensee agrees to be bound by the provisions of this license agreement.
